1. Service Description
Purpose Driven Marketplace ("PDM," "we," "our") provides business website creation, online ordering, and digital operations services ("Service") operated by NewWin Works. We create and host websites for businesses at no initial cost, with optional paid upgrades for custom domains and premium features.
2. Acceptance of Terms
By using our Service, you ("Business Owner," "Customer," or "User") agree to these Terms of Service. If you disagree with any part, you may not use our Service.
3. Free Service Offering
Free Tier Includes:
- Business website hosted on our platform
- Menu display and management
- Basic order form with SMS notifications
- Hours, location, and contact information display
- Mobile-responsive design
- Basic analytics
Paid Upgrades Available:
- Custom domain (yourbusiness.com): pricing varies
- Advanced features and premium support as available
4. Business Owner Responsibilities
You agree to:
- Provide accurate business information (name, address, phone, hours, menu)
- Keep information, items, and pricing current and accurate
- Respond promptly to customer orders received through your site
- Comply with all applicable business regulations and local laws
- Not use the Service for illegal activities or fraudulent business practices
5. Order Processing
Important: PDM does not process payments or fulfill orders. We provide the website platform and notification system only. You are responsible for:
- Confirming orders with customers
- Processing payments (cash, card, or your chosen payment method)
- Preparing and delivering products or services
- Customer service and dispute resolution
6. SMS Communications
Our Service uses SMS messaging to notify business owners of new orders and to send order confirmations to customers. By using our ordering system:
- Business owners consent to receive SMS order notifications at their registered phone number
- Customers consent to receive order confirmation texts when placing orders
- Message and data rates may apply
- SMS frequency depends on order volume
- Reply STOP to opt out of messages at any time
- Reply HELP for assistance
We use Twilio for SMS delivery. Messages are transactional (order-related) only — we do not send marketing texts.
7. Content and Data
Your Content: You retain ownership of all business information, menu data, photos, and content you provide.
Our Use: You grant us a non-exclusive license to display your content on your website and use anonymized data for service improvements.
Content Guidelines: All content must be accurate, legal, and appropriate. We reserve the right to remove inappropriate content.
8. Service Availability
We strive for 99.9% uptime but make no guarantees. The Service is provided "as-is" without warranty of any kind, express or implied.
9. Termination
Either party may terminate service at any time. Upon termination:
- Your website will be taken offline within 48 hours
- You may request export of your business data
- Paid upgrades will be refunded on a pro-rated basis
10. Limitation of Liability
NewWin Works shall not be liable for:
- Lost revenue due to website downtime
- Customer disputes or product/service quality issues
- Inaccurate information you provide
- Any indirect, consequential, or punitive damages
Maximum liability is limited to amounts paid for premium services in the preceding 12 months.
11. Intellectual Property
The PDM platform, code, and trademarks remain our property. You may not copy, modify, or resell our platform technology.
12. Modifications
We may update these Terms at any time. Significant changes will be communicated via email or website notice with at least 30 days advance notice.
13. Governing Law
These Terms are governed by California law. Any disputes will be resolved in Los Angeles County, California.
